What a Form D is

When a company raises money without going public it relies on a Regulation D exemption, and the price of that exemption is a Form D filed with the SEC within 15 days of the first sale. It states the amount actually sold, the company's location, and its industry. It is free and public and almost nobody reads it, which is why a round can close without a single word appearing anywhere. Pooled investment funds and SPVs are filtered out here — they file Form Ds constantly and they are not companies that raised money, they are the vehicles doing the raising.
